Terms of Service

1. Acceptance of Terms

By accessing or using the YesCounsel platform (“Service”), operated by YesCounsel Inc. (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and the Company. By creating an account, you represent that you have the authority to bind yourself or the organization you represent to these Terms.

2. Description of Service

YesCounsel is a cloud-based legal practice management platform that provides tools for matter management, billing, client portals, document assembly, reporting, and related services. The Service is designed for use by law firms, legal professionals, and authorized staff.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will notify active subscribers of material changes at least 30 days in advance.

3. User Accounts

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to: (a) provide accurate and complete registration information; (b) maintain and promptly update your account information; (c) notify us immediately of any unauthorized access; and (d) not share account credentials with unauthorized persons.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or professional ethical obligation
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to any systems or data
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose other than authorized legal practice management
  • Reverse engineer, decompile, or disassemble any aspect of the Service

5. Intellectual Property

The Service, including its software, design, logos, trademarks, and documentation, is owned by YesCounsel Inc. and is protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service.

You retain all rights, title, and interest in any data, documents, or content you upload to the Service (“Your Content”). We do not claim ownership of Your Content.

6. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in a written agreement.

We reserve the right to change pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle. Founding Cohort members retain their locked pricing for the duration specified in their agreement.

7. Data Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We do not sell, share, or use your data for advertising purposes. We do not train machine learning models on your documents or client data. Your data is yours.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YESCOUNSEL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total aggregate liability for any claims arising out of or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

9. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting support@yescounsel.ai.

Upon termination, you may request an export of your data within 30 days. After this period, we will delete your data in accordance with our data retention policy and applicable law.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Bhutan, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction within the Kingdom of Bhutan.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
